1. Acceptance of Terms

By accessing or using Actowiz Metrics services, APIs, datasets, or website ("Services"), you agree to be bound by these Terms of Use. If you do not agree, do not use our Services.

2. Service Description and Operational Model

Actowiz Metrics operates strictly as a data infrastructure provider, technical processor, and technology conduit. We develop and maintain automated data pipelines, workflows, and cloud-based software to extract public-facing web data exclusively at the explicit direction, configuration, and request of our clients. Actowiz Metrics does not independently source, own, or control the target URLs or data scopes executed through its pipelines; the infrastructure functions neutrally, similar to a communications network or internet service provider (ISP).

3. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your API keys and account credentials. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with applicable laws and regulations. You must not use extracted data to harm individuals, violate privacy rights, engage in discriminatory practices, or facilitate illegal activities.

4a. Data Extraction and Legal Compliance

Our data extraction infrastructure is engineered to interact solely with publicly accessible web structures. Actowiz Metrics strictly prohibits the use of its services to bypass user authentication walls, login prompts, encryption barriers, or paywalls, nor do we access private, confidential, or restricted databases. In alignment with established legal frameworks for public data access (including the US Computer Fraud and Abuse Act), our technical systems act as a neutral tool. Clients retain 100% legal responsibility and liability for ensuring that the target URLs provided to our automated systems are compliant with applicable local laws and do not infringe on proprietary or non-public rights. The depiction or mention of any third-party corporate entities, brand names, or trademarks on our website serves purely as an operational illustration of our system's technical processing capabilities and does not imply institutional association, endorsement, or an ongoing data relationship.

5. API Usage and Rate Limits

API usage is subject to your plan limits. Exceeding rate limits results in 429 responses — no overage charges are applied. Unauthorized attempts to circumvent rate limits or abuse the API may result in account suspension.

6. Data Licensing

Data delivered through our Services is licensed for your internal business use. You may not redistribute, resell, or sublicense raw data to third parties without written authorization. Aggregated insights and derived analytics may be used freely.

7. Intellectual Property

Actowiz Metrics retains all intellectual property rights in our APIs, SDKs, documentation, website design, and proprietary technology. You retain rights to any original content you create using our data.

8. Payment Terms

Paid plans are billed monthly or annually in advance. Refunds are available within 7 days of initial purchase. Plan changes take effect according to upgrade (immediate) or downgrade (end of cycle) policies.

9. Service Availability

We target 99.9% API uptime. Scheduled maintenance windows are communicated in advance. We are not liable for temporary unavailability due to circumstances beyond our control.

10. Limitation of Liability

Actowiz Metrics shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our Services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

11. Termination

Either party may terminate the agreement at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your access to APIs and data will be revoked and data will be deleted per our retention policy.

12. Governing Law

These Terms shall be governed by the laws of the State of New York, United States. Any disputes shall be resolved in the courts of Albany County, New York.

14. Client Reference and Marketing Usage

By engaging with Actowiz Metrics LLP for any services, the Client grants Actowiz Metrics a non-exclusive, worldwide, royalty-free right to reference the Client's name, logo, and a high-level description of the services provided for marketing and promotional purposes, including but not limited to website case studies, presentations, and sales materials.

Actowiz Metrics agrees that:

• No confidential, proprietary, or sensitive business information will be disclosed without prior written consent.
• Any case study or reference will be presented in a generalized and non-sensitive manner unless explicitly approved.
• If the Client prefers not to be referenced, they may notify Actowiz Metrics in writing at any time at legal@actowizmetrics.com, and Actowiz Metrics will promptly remove such references within a reasonable timeframe.
